1.Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FluteOS Inc. ("FluteOS," "FlutéOS," "we," "us," or "our") governing your access to and use of the FlutéOS platform and associated services (the "Service").

By creating an account, clicking "Accept," or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

We may update these Terms from time to time. Continued use of the Service after notice of changes constitutes your acceptance of the revised Terms.

2.Description of Service

FlutéOS is an AI-powered operating system for the hospitality industry. The platform provides tools for reservation management, guest engagement, workforce scheduling, point-of-sale integration, marketing automation, and AI agent interactions, among other features.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Features and functionality may vary based on your subscription plan. Certain features are gated by plan tier or organizational feature flags and may not be available on all plans.

3.User Accounts

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update that information as necessary. FluteOS reserves the right to suspend or terminate accounts containing false or misleading information.

You must be at least 18 years of age to use the Service. By using the Service you represent that you meet this requirement. Organizations are responsible for ensuring that all staff members granted access comply with these Terms.

4.Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service to transmit unlawful, harmful, or offensive content; infringe upon intellectual property rights; distribute malware or engage in unauthorized access to systems; or violate applicable data protection laws.

You are solely responsible for all data, content, and information you upload to or generate through the Service, including guest records, menus, marketing content, and communications.

FluteOS reserves the right to investigate and take appropriate action — including suspension or termination — against any user who violates these acceptable use standards or causes harm to the platform or other users.

5.Intellectual Property

FlutéOS, FluteOS, and all associated logos, product names, software, documentation, and content are the exclusive property of FluteOS Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, or distribute these materials without our written consent.

You retain all rights to the data and content you provide to the Service ("Customer Data"). By using the Service, you grant FluteOS a limited, non-exclusive license to process Customer Data solely as necessary to provide the Service.

Any feedback, suggestions, or ideas you provide to FluteOS regarding the Service may be used by us without obligation or compensation to you.

6.Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as required by applicable law or as expressly stated in a separate agreement.

You authorize FluteOS to charge your payment method on the billing date associated with your plan. If a payment fails, we may suspend access to the Service after reasonable notice. Reactivation may require payment of past-due amounts.

FluteOS reserves the right to change pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7.Termination

You may terminate your account at any time by contacting our support team or using the account management tools within the platform. Termination does not entitle you to a refund of prepaid fees.

FluteOS may suspend or terminate your access to the Service immediately, without prior notice, if you materially breach these Terms, engage in conduct harmful to other users or the platform, or fail to pay applicable fees.

Upon termination, your right to use the Service ceases immediately. You may request an export of your Customer Data within 30 days of termination. After that period, FluteOS may delete your data in accordance with our data retention policies.

8.Limitation of Liability

To the maximum extent permitted by applicable law, FluteOS and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the fees paid by you to FluteOS in the twelve months preceding the claim or (b) one hundred US dollars ($100).

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9.Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
